Tesla and SpaceX: the accounts shed light on the stakes of a potential tie-up

Even before any potential merger, Tesla and SpaceX are already linked through shareholdings and battery sales.

Even before any potential merger, Tesla and SpaceX are already linked through shareholdings and battery sales. Tesla’s quarterly report as at 30 September 2026 puts figures on these relationships and announces a special committee tasked with examining how they might be deepened. This is the starting point for understanding the proposed transaction.

What the committee must examine

The document specifies that the committee comprises directors with no personal interest in the proposed transaction. Any potential transaction would depend, in particular, on its favourable recommendation and then, if an agreement were reached, on the necessary shareholder approvals. Tesla stresses that completion is not assured.

Links already reflected in the accounts

The two companies already have financial and commercial ties. The report mentions a stake of less than 1% in SpaceX, linked to an investment of 2 billion dollars, initially in xAI.

The group also reports 626 million dollars in revenue from Megapack sales to SpaceX over the first nine months of 2026. These energy-storage systems are evidence of concrete business between the companies. These ties predate the proposed transaction: a combination would also change governance and shareholder rights.

The industrial promises remain to be assessed

In its analysis on 22 October, AFP reports differing views of the tie-up. Florian Frischmuth, of consultancy Envorso, highlights the possibility of coordinating chips, energy and connectivity for AI. Garrett Nelson, of CFRA, takes the opposite view, arguing that the synergies would be limited given the scale of the transaction and emphasising the question of control.

These analyses shed light on the debate without suggesting that the outcome is a foregone conclusion. The decisive step will be the presentation of terms that make it possible to assess what each group brings and what shareholders would receive in return.
